                1. You acknowledge and agree that NeuroLogica owns all legal right, title and interest in and to the Website, including all intellectual property rights (existing anywhere in the world and whether registered or not) which subsist in the Website.<\/span><\/span><\/li>\n
                2. Any images you upload (the \u201cContent\u201d), the rights in and to the Content granted to NeuroLogica and the exercise of those rights by NeuroLogica or its designees hereunder shall:<\/span><\/span>\n

                  • Not violate the rights of any third party or any applicable laws, rules or regulations, including, without limitation, HIPAA and related medical\/health and privacy laws, those related to consumer protection, privacy, right of publicity and trade laws, copyright, trademark and other intellectual property laws; nor contain images, sounds or any combination of them that could offend the public at large, could subject NeuroLogica to liability, or could otherwise reflect negatively on NeuroLogica\u2019s brand or reputation.\u00a0<\/span>\n

                    • By way of example, and without limitation, images of the following may violate the laws listed above: profanity, nudity, political speech, third-party intellectual property (such as trademarks, copyrighted images, and names and likenesses of celebrities and non-celebrities), sexually-suggestive or offensive gestures, violence or violent images, cigarettes (including e-cigarettes), drugs or drug paraphernalia, alcoholic beverages, or religious images. It is in NeuroLogica\u2019s sole discretion which may include consideration of the public mores and its own brand image, whether Content contains such images.\u00a0<\/span><\/li>\n<\/ul>\n<\/li>\n
                    • Not contain any worms, viruses or other harmful code; nor shall the media on or in which it is submitted contain the same.<\/span><\/li>\n<\/ul>\n<\/li>\n
                    • You have the right and\/or necessary permissions and authority to grant NeuroLogica the rights granted herein including the free and clear unfettered right to use the Content in any way including in and in connection with marketing and advertising.<\/span><\/li>\n
                    • You grant NeuroLogica an exclusive, irrevocable, worldwide, royalty-free right and license to exhibit, copy, modify reproduce, publish, distribute, license, publicly display, publicly perform and exploit in whole or in part and in any manner, and to otherwise use (and to authorize third parties to do the same) the Content, including in any manner and in marketing and advertising to promote NeuroLogica and its affiliates and NeuroLogica\u2019s products and services in all media now known or hereinafter devised, in perpetuity. Any modification must not, in NeuroLogica\u2019s sole and reasonable discretion, materially distort the Content\u2019s original sum and substance.<\/span><\/li>\n
                    • You agree that you will have no right to enjoin, restrain or in any way interfere with the use of the Content if the use is as permitted hereunder. You agree that all of the rights granted here are freely sublicensable and fully transferable without notice to you.\u00a0 For the avoidance of doubt, you further agree that nothing herein obligates NeuroLogica to exercise any of the rights granted herein, and you are not entitled to monetary compensation or any further consideration.<\/span><\/li>\n
                    • You release and discharge the NeuroLogica Releasees (as defined in the Community Terms and Conditions) from and against any and all liabilities, losses (economic and non-economic), damages, costs, expenses (including attorneys\u2019 fees and expenses), causes of action, suits and claims of any nature whatsoever (collectively, \u201cLiabilities\u201d) that you or any of your heirs, assigns, legal representatives or next of kin (collectively, the \u201cReleasing Parties\u201d) had, now have, or hereafter may have, by reason of any matter directly or indirectly arising out of or connected in any way with (a) my participation in the Campaign, and (b) the exercise of any of the rights granted herein.\u00a0 NeuroLogica is hereby released and discharged from any and all Liabilities caused in whole or in part by the fault or negligence of any of the NeuroLogica Releasees.\u00a0 Without limiting the foregoing, you, on your own behalf and on behalf of each of the Releasing Parties, covenant and agree to waive and to not institute legal proceedings against any of the NeuroLogica Releasees for any of the Liabilities that I have released and discharged herein.\u00a0<\/span>\n

                            • You agree that the Submission shall be owned by NeuroLogica, including any personal or intellectual property or other rights associated with the Submission, that NeuroLogica or its designees alone may exploit, or not, the Submission, and to the extent any assignment of rights by you is required for NeuroLogica\u2019s ownership or exploitation of the Submission, then you hereby assign those rights to NeuroLogica or agree to sign such documentation as may be necessary, in NeuroLogica\u2019s sole reasonable discretion. <\/span><\/span><\/li>\n
                            • You have no expectation of and shall not seek any compensation of any kind related to the Submission including for any use thereof by NeuroLogica. <\/span><\/span><\/li>\n
                            • Attribution and Right of Publicity<\/span>. NeuroLogica may, in its sole discretion and without obligation to do so, give attribution to you by name for a Submission. You hereby grant to NeuroLogica permission to use your name to promote, advertise or provide attribution related to the Submission, which NeuroLogica may or may not do in its sole discretion. <\/span><\/span><\/li>\n
